Should a Rental Property Be Held in an LLC?

An LLC is a legal entity that can hold title to rental property, separating the property’s liabilities from the owner’s personal assets. Most investor lenders permit it; most conventional lenders do not.

Holding rentals in an LLC is close to standard practice among investors, and the reasons are usually stated too simply. The entity provides a liability boundary, not immunity, and it only works if it is actually treated as a separate business. Where it matters most practically is financing: whether your lender will lend to an entity at all.

What the entity actually does

It creates a legal separation between the property and you personally, so that a claim arising from the property is generally limited to the assets of the LLC. Multiple properties in separate LLCs limit cross-exposure between them. The separation holds only if the entity is respected: separate bank account, separate books, leases and insurance in the entity’s name, and no commingling. An LLC that exists on paper while you run everything through a personal account offers considerably less than its owner assumes.

Insurance does more of the work than people expect

An LLC does not replace insurance; it sits behind it. The first line of defence in almost every claim is a landlord policy with adequate limits, usually backed by an umbrella policy. Most investors are better served by raising coverage limits than by adding entities, and the two are complementary rather than alternatives.

The financing problem, and why DSCR solves it

Conventional Fannie Mae and Freddie Mac loans are made to individuals. Deeding a conventionally financed property into an LLC after closing is a transfer that triggers the due-on-sale clause. DSCR and other investor loans generally permit title in an LLC from day one, usually with a personal guarantee, which is the cleanest route: buy in the entity rather than transferring later. Tax treatment is mostly neutral

A single-member LLC is disregarded by default — income and expenses land on your Schedule E exactly as they would without it. A multi-member LLC files a partnership return. Neither creates a tax benefit by itself; the entity is a liability and organisational structure, not a tax strategy. Anyone selling an LLC primarily as a tax play is overselling it.

The costs and the friction

Formation fees, annual franchise or report fees that vary sharply by state, registered agent costs, separate accounting, and separate bank accounts for each entity. Some states are genuinely expensive to maintain entities in. Transfer taxes may apply when moving property into an entity. And financing an entity-owned property is a smaller lender market than financing an individually owned one. None of this argues against an LLC — it argues for deciding before purchase rather than reorganising afterwards.

Can I get a mortgage in an LLC name?

Can I transfer a financed property into an LLC?

Should each property have its own LLC?

It limits cross-exposure between properties, at the cost of more entities to maintain. Investors weigh that against annual fees and administrative load; series LLCs are an option in some states.

Does an LLC protect me from everything?

No. It does not cover your own negligent acts, and courts can disregard an entity that is not maintained as a genuine separate business. Adequate insurance remains the primary protection.

Which state should I form in?

Usually the state where the property is, since an out-of-state entity generally must register there anyway and pay fees in both. The exotic-state advice rarely survives contact with the filing requirements.
